1. Introduction
These Terms and Conditions govern the provision of services by Northshore Consulting (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to these terms.
2. Scope of Services
Northshore Consulting provides strategy-led marketing consulting services. The exact scope of work will be defined in a written proposal or agreement.
We reserve the right to refine or adjust deliverables where necessary to ensure strategic alignment and effectiveness.
3. Engagement Model
Services may be delivered under a retainer or project-based structure, as specified in your agreement.
Retainers provide ongoing strategic support and execution. Project engagements are limited to the defined scope and timeline.
4. Fees and Payment Terms
All fees are outlined in your proposal.
Invoices must be paid within the agreed timeframe. Late payments may result in suspension of services.
All fees are non-refundable once work has commenced.
5. Cancellation and Termination
For ongoing (retainer) agreements, a minimum 28-day written notice is required to cancel.
One-off or project-based services are non-refundable once delivery has commenced.
We reserve the right to terminate the agreement if there is a breach of these terms or lack of cooperation.
6. Client Responsibilities
You agree to:
Provide timely access to required information, assets and approvals
Ensure accuracy of all materials supplied
Engage collaboratively in the process
Delays in communication or approvals may impact timelines and outcomes.
7. Intellectual Property
All strategy frameworks, methodologies, and internal processes remain the intellectual property of Northshore Consulting.
Final deliverables become the property of the client only after full payment has been received.
8. Confidentiality
Both parties agree to maintain confidentiality over all sensitive business, financial and strategic information shared during the engagement.
9. Results Disclaimer
We provide strategic guidance, execution support and recommendations based on expertise and data.
However, we do not guarantee specific results, including revenue, leads, or performance outcomes, as these depend on multiple external factors beyond our control.
10. Limitation of Liability
To the fullest extent permitted by law, Northshore Consulting is not liable for any indirect, incidental or consequential damages arising from the use of our services.
11. Communication and Reporting
Communication frequency, reporting structure and meeting cadence will be defined in your agreement.
We prioritise clarity, efficiency and decision-oriented communication.
12. Governing Law
These Terms are governed by the laws of Australia.
